Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Aiden Risk platform, websites, and services (the "Services") provided by Aiden Risk, Inc. ("Aiden Risk," "we," or "us"). By creating an account or using the Services, you agree to these Terms.

1. The Services

Aiden Risk operates as a licensed insurance producer and provides software for risk discovery, quoting, binding, and policy servicing. Insurance policies are issued by carriers, not by Aiden Risk. Coverage is bound only when a carrier accepts the application and we confirm binding in writing.

2. Eligibility and Accounts

You must be at least 18 years old and authorized to bind the business you represent. You are responsible for keeping your credentials confidential, enabling multi-factor authentication where offered, and for all activity under your account. Tell us immediately at [email protected] if you suspect unauthorized access.

3. Acceptable Use

You agree not to:

  • Submit false, misleading, or fraudulent information, including misrepresenting underwriting facts.
  • Access the Services through automated means except documented public APIs you are authorized to use.
  • Attempt to probe, scan, or test the vulnerability of the Services without our prior written authorization.
  • Reverse engineer, copy, or build a competing product based on the Services.
  • Use the Services in violation of applicable law, including state insurance regulations and anti-fraud statutes.

4. Your Content

You retain ownership of information and documents you submit ("Customer Data"). You grant us a limited license to use, process, and transmit Customer Data solely to provide the Services, meet regulatory obligations, and improve the platform consistent with our Privacy Policy.

5. Fees

Premium payments are collected through our payment processor and remitted to carriers. Where applicable, broker fees, financing fees, and surcharges will be disclosed before you authorize payment. All fees are non-refundable except as required by law or as expressly stated.

6. Cancellation and Termination

You may cancel a policy subject to the carrier's rules and applicable law. We may suspend or terminate your account for material breach of these Terms, suspected fraud, or to comply with law. On termination, regulatory retention periods continue to apply to binding records.

7. Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, Aiden Risk disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated suggestions are advisory; final coverage decisions are made by you and the carrier.

8. Limitation of Liability

To the maximum extent permitted by law, Aiden Risk and its officers, employees, and affiliates will not be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or revenue, arising out of or related to your use of the Services. Our aggregate liability arising out of these Terms will not exceed the greater of (a) the broker fees you paid us in the 12 months preceding the claim or (b) US $1,000.

Nothing in this section limits liability that cannot be excluded under applicable law, including liability for fraud, gross negligence, or wilful misconduct.

9. Indemnification

You will indemnify and hold harmless Aiden Risk from third-party claims arising out of your breach of these Terms, your misuse of the Services, or your provision of false underwriting information.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute will be resolved by binding arbitration administered by JAMS in Wilmington, Delaware under its Streamlined Arbitration Rules, except that either party may bring an individual action in small-claims court for qualifying disputes. You and Aiden Risk waive the right to a jury trial and to participate in class actions.

11. Changes

We may update these Terms from time to time. Material changes will be announced by email or in-product notice with a reasonable effective date. Continued use of the Services after changes take effect constitutes acceptance.
